Reseller / Marketplace Agreement

This agreement governs the relationship between a business Owner who lists a product on the Bokalio marketplace and another Bokalio organization that resells it (the "Reseller"). It applies automatically once an Owner makes a listing available on the marketplace and a Reseller adds it to their own site. Both the Owner and the Reseller remain separately bound by the Terms of Service — Business Owners.

1. What reselling means on Bokalio

• An Owner opts a product into the marketplace and sets a commission (a flat amount or a percentage) — the Reseller cannot see or resell a product that isn't opted in, and cannot change the commission the Owner has set.
• A Reseller who lists that product on their own site or embed is offering it to their own customers, under the same price and availability the Owner has configured.
• Bokalio operates in commission-only mode: when a customer books through a Reseller, the Reseller's payment processor collects only the commission amount online. The remainder of the price is owed directly by the customer to the Owner, exactly as if they'd booked directly, minus what the Reseller already collected.

2. The Owner's commitments

• The commission rate shown to a Reseller is final for bookings made under it — an Owner can change it going forward, but not retroactively for bookings already made.
• The Owner is responsible for honoring a booking made through a Reseller exactly as they would a direct booking.
• The Owner can remove a product from the marketplace at any time; existing confirmed bookings must still be honored.

3. The Reseller's commitments

• Represent the listing accurately — the Reseller may not alter the price, description, or terms the Owner has set, or imply the product is the Reseller's own.
• Not attempt to route payment for a resold booking outside Bokalio's payment flow to avoid the commission arrangement.
• Comply with the same legal requirements around advertising and consumer protection that apply to the Owner's own listing.
• Only use an Owner's photos, name, and description to display that specific listing — not for other marketing use without the Owner's separate permission.

4. Liability between Owner and Reseller

The Reseller isn't responsible for the quality, safety, or delivery of the product itself — that remains the Owner's responsibility, same as a direct booking. The Owner isn't responsible for how a Reseller markets or presents their own site, beyond the listing content the Owner themselves provided.

5. Ending the relationship

Either party can stop the reselling relationship for a given product at any time going forward — the Owner by removing it from the marketplace, the Reseller by removing it from their own site. Bookings already confirmed before that point must still be honored by the Owner.

6. Disputes between Owner and Reseller

A disagreement about a specific commission payout should first be raised through your Bokalio dashboard support channel. Bokalio can provide records of the transaction but is not a party to, and doesn't arbitrate, the underlying commercial relationship between an Owner and a Reseller.
