Terms of Service — Business Owners

These Terms of Service ("Terms") are a contract between [Bokalio Legal Entity Name], a company registered in [Country/State of incorporation] with registered address at [Registered Address] ("Bokalio", "we", "us"), and the business or individual creating an organization account on Bokalio ("you", the "Owner"). By creating an account you accept these Terms.
1. What Bokalio is
Bokalio is a booking-management platform. We provide the software that lets you list rentable products (vehicles, boats, tables, appointments, and similar), take bookings, collect payment online, and manage the resulting bookings. Bokalio is not a party to the underlying booking — the contract for the vehicle, table, appointment, or other service is between you and your customer. We are a technology and payment-facilitation provider, not the operator of your business.
2. Your account
- You must provide accurate information about your business, including a valid name, contact details, and where required, tax/registration identifiers.
- You're responsible for everything that happens under your account, including actions taken by staff members you invite.
- You must be legally able to enter into this contract and to offer the products/services you list — including holding any license, permit, insurance, or registration your local law requires for that activity (e.g. a tourism/charter license for boat rentals, food-safety registration for a restaurant, professional licensing for medical or personal-care appointments).
3. Your listings and bookings
- You're solely responsible for the accuracy of what you list — pricing, availability, capacity, and any description shown to customers.
- You're responsible for honoring confirmed bookings, and for the safety, quality, and legality of whatever you provide to the customer.
- You set your own cancellation terms within what the platform supports; see the Cancellation & Refund Policy for how the platform-level fee and deposit mechanics work regardless of your own policy.
- You're responsible for your own tax obligations (VAT/sales tax, income tax, tourist tax, etc.) on amounts you receive through Bokalio. We don't provide tax advice and payment records we show you aren't a substitute for your own accounting.
4. Fees and payment
- Bokalio charges a booking fee on transactions processed through the platform, shown to the customer at checkout. The current rate is displayed in your dashboard and may change with notice under Section 10.
- Where you accept online payment, funds are processed through our payment partners (currently Stripe and/or PayPal). Their own terms and any identity-verification requirements apply to you directly as a condition of receiving payouts.
- Where a booking is made through a reseller on the marketplace, the commission you set is deducted as described in the Reseller / Marketplace Agreement.
- Payouts of amounts owed to you are subject to our payment partners' processing times and any holds required for fraud prevention or dispute reserves.
5. The marketplace and resellers
Listing a product on the Bokalio marketplace, or allowing resellers to sell it, is optional and only happens if you turn it on and set a commission. You control the commission rate; a reseller cannot change it. See the Reseller / Marketplace Agreement for the full terms of that relationship.
6. Acceptable use
You agree not to:
- List anything illegal, or anything you're not licensed/permitted to offer;
- Misrepresent your identity, your business, or what you're offering;
- Attempt to circumvent Bokalio's payment processing to avoid fees, in a way that undermines the booking protections shown to customers;
- Interfere with the platform's operation, probe it for vulnerabilities without authorization, or use it to send unsolicited communications;
- Use the Lio AI assistant to attempt actions outside what it's designed for, or to extract other organizations' data.
7. Your data and your customers' data
Our Privacy Policy describes how we handle personal data. Where we process your customers' personal data on your behalf (as their booking is made through your listing), our Data Processing Agreement forms part of these Terms and governs that processing.
8. Intellectual property
Bokalio and its platform, software, and branding remain our property. You keep ownership of your own content (photos, descriptions, business name) that you upload, and you grant us a license to display it as needed to operate the booking widget, your listing pages, and the marketplace.
9. Disclaimers and limitation of liability
The platform is provided "as is". To the maximum extent permitted by law, Bokalio disclaims all warranties beyond those that can't be excluded, and isn't liable for indirect, incidental, or consequential damages, or for the acts or omissions of you or your customers in connection with the underlying booking. Our total liability to you for any claim arising from these Terms is limited to the fees you paid us in the [three (3) months] before the claim arose, except where liability can't be limited by law (e.g. for our own gross negligence, willful misconduct, or fraud).
10. Changes, suspension, and termination
- We may update these Terms; material changes will be notified to you (e.g. by email or in-dashboard notice) with reasonable advance notice before they take effect.
- You may close your account at any time; existing confirmed bookings should still be honored.
- We may suspend or terminate an account that breaches these Terms, engages in fraud, or creates risk to customers or the platform, and will explain why where we're able to.
11. Governing law and disputes
These Terms are governed by the laws of [Governing Jurisdiction, e.g. Spain], without regard to conflict of law rules, except that nothing in these Terms limits any protection you're entitled to as a matter of mandatory local law where you're based (including within the EU, UK, or a U.S. state). Disputes will first be attempted to be resolved informally; unresolved disputes are subject to the courts of [Jurisdiction] or, where mandatorily applicable, your own local courts.
